Terms of Service, Plato
Effective date: 28 July 2026 · Provider: Plato, a service of Vadria Innovation Lab (a sole proprietorship registered in Aruba).
1. Agreement
These Terms govern use of the Plato platform and dashboard by restaurant owners and their authorized staff ("you"). By using the service you accept these Terms. If you have a signed Client Service Agreement, that agreement controls where it conflicts with these Terms.
2. The service
Plato provides a hosted video-menu page at platodigital.io/<name> (or a custom domain),
an owner dashboard for quick edits, on-site capture of food photos/video, menu building,
QR/NFC tools, basic analytics, and optional hardware. Diners do not log in.
3. Accounts
We create your account during onboarding and send an invite to set your own password (or a magic-link sign-in). You are responsible for keeping your credentials secure and for activity under your account. Notify us of any unauthorized use.
4. Plans, fees, and billing
- Plans and prices are as set out in your order or current price list (e.g. Starter, Growth, Premium), plus any one-time setup fee and add-ons.
- We invoice in USD. Launch billing is by manual invoice (bank transfer or in person); card and local payment methods may be added later. Annual plans may be offered at a discount.
- Invoices are due by the stated date. If payment is not received, your page may enter a short grace period and then be suspended until payment is made.
- Fees are non-refundable except where required by law. We may change prices with reasonable prior notice effective at your next renewal.
- You are responsible for any applicable taxes (including Aruba BBO/turnover tax) unless stated otherwise.
5. Content and media
- You retain ownership of your restaurant's brand, names, descriptions, and prices, and you grant Plato a license to host, display, translate, and distribute that content to operate your menu.
- Photos and videos we capture are produced by Plato; we grant you a license to use them on your Plato menu for the duration of your subscription.
- You warrant that your content is accurate, lawful, and does not infringe others' rights.
6. Acceptable use
Do not use the service to publish unlawful, infringing, or misleading content, to interfere with the platform's security, or to resell the platform without authorization.
7. Hardware and tablets
QR/NFC materials and any rented tablet are governed by your Client Service Agreement. Rented devices remain Plato's property and must be returned on cancellation.
8. Availability
We aim for high availability but provide the service "as is" and "as available" without warranties. Brief interruptions, maintenance, or third-party outages may occur.
9. Suspension and termination
We may suspend or terminate for non-payment, breach, or unlawful use. You may cancel per your Service Agreement. On termination we will unpublish your page after the paid period, offer an export of your menu content, and arrange return of any hardware (§9 of the Service Agreement / operations runbook).
10. Liability and indemnity
To the maximum extent permitted by law, Plato is not liable for indirect or consequential losses, and our total liability is limited to the fees you paid in the 3 months before the claim. You agree to indemnify Plato against claims arising from your content or misuse.
11. Governing law
These Terms are governed by the laws of Aruba, and disputes are subject to the courts of Aruba, unless otherwise agreed in writing.
12. Changes and contact
